Before you can join www.WorldBoxingNetwork.com as a Member/Subscriber, you must read and agree to these terms and conditions.
All of your personal information is kept strictly confidential.
By joining this site, you are agreeing to these terms and conditions, and are agreeing to be legally bound by them. This agreement is subject to change by World Boxing Network, Inc. (the “Company”) at any time and such changes are effective without notice upon each Member.
1. Legal definitions.
Hereby, the term "Member" or "Membership,” as referred to in this document shall mean a paying user who as a result has access to www.WorldBoxingNetwork.com, through the Membership division of the Company, during the term of Membership to have posted on the Member’s profile page on www.WorldBoxingNetwork.com:
(a) If a Boxer: three (3) boxing-related videos posted no more than one (1) minute in length or one (1) boxing-related video no more than three (3) minutes in length; six (6) boxing-related pictures of Boxer; and the Boxer’s name, alias, win-loss-draw-knock out record, division, titles won, world rank, gender, nationality, home town, height, reach, stance, birth place, date of birth, contact phone, email address, manager’s contact information (manager name, manager phone number, manager address, email), trainer’s contact information (trainer name, trainer phone number, trainer address, email), promoter’s contact information (promoter name, promoter phone number, promoter address, email).
(b) If a Manager: a Company logo slot on their profile page and listed on their profile page: their name, company, phone number, email address, address, city, state, zip, country, and active status.
(c) If a Promoter: a Company logo slot on their profile page and listed on their profile page: their name, company, phone number, email address, address, city, state, zip, country, and active status.
(d) If a Trainer: a Company logo slot on their profile page and listed on their profile page: their name, company, phone number, email address, address, city, state, zip, country, and active status.
Once the Member sends materials/information to the Membership division of the Company, the Company shall the power, in its sole and absolute discretion, to approve or deny any and all materials/information sent to it by a Member and may deny any Member, at any time, for any reason whatsoever, the right to post such materials/information on the Site.
Hereby, the term "Site,” as referred to in this document shall mean www.WorldBoxingNetwork.com (owned by World Boxing Network, Inc.), which you are purchasing access its benefits of Membership, including all of the above in the definition of Member.
Hereby, the term "Subscriber,” as referred to in this document, shall mean the End-user, Consumer, of the services of the Site. Subscriber shall be used interchangeably with Member.
2. Description of Services.
www.WorldBoxingNetwork.com will provide one (1) User Code to access the Site, through the Membership division of the Company, and its services and benefits as described in Paragraph 1 above for which you are purchasing a Membership.
3. Billing.
“WORLD BOXING NETWORK" will appear on your credit card billing statement for all charges made.
4. Payment/Fee and Period of Membership.
To become a Member of www.WorldBoxingNetwork.com, potential Members/Subscribers must complete the registration form, and Membership fees must be paid by credit card (MasterCard, VISA, Discover or American Express) or by check or money order sent World Boxing Network, Inc., ATTN: Membership, 1320 East 8th Avenue, Tampa, Florida 33605. Membership to www.WorldBoxingNetwork.com shall be on a yearly basis (the “Term” hereof is one year) and the subscription fee for access to www.WorldBoxingNetwork.com as a Member/Subscriber shall be $149.99. The Member is responsible for such fees according to the terms of the Site and this Agreement. Once a Member has accessed the Site and posted any materials/information whatsoever, the Membership fee is non-refundable.
5. Electronic Receipt.
Members/Subscribers may request a copy of the account of charges made for the use of the Site. Member/Subscriber foregoes this right if such request is not made. Requests must be made directly to the Company at www.WorldBoxingNetwork.com.
7. Cancellation.
At any time, and without cause, subscription to the Service for www.WorldBoxingNetwork.com may be terminated by the Company or the Member/Subscriber upon notification to the other by electronic or conventional mail. When the Member/Subscriber requests the termination, subscription fees are NOT refunded. Members/Subscribers are liable for charges incurred by them until termination of service.
8. Refunds.
Should a refund be issued by the Company, in its sole discretion, in connection with www.WorldBoxingNetwork.com, all refunds will be credited to the credit card used in the original transaction solely. Refunds will not be issued by cash, check, or to another credit card.
9. Authorization of Use.
The content and services purchased through a www.WorldBoxingNetwork.com Membership are for the user's own private non-commercial use and enjoyment. Any other use is strictly prohibited. Subscribers to the site are hereby authorized a single license to download, copy, or print material found on the site. This license shall be granted for sole use via one computer. All Memberships are provided for personal use and shall not be used for any commercial purposes or by any commercial entities. Commercial use of either the Site or any content or material found within www.WorldBoxingNetwok.com is strictly prohibited. No material within the Site may be transferred to any other person or entity, whether commercial or non-commercial. In addition, materials may not be modified, or altered. Materials may not be displayed publicly, or used for any rental, sale, or display. Materials shall also extend to copyright, trademarks, or other proprietary information therefrom.
The Company and www.WorldBoxingNetwork.com reserves the right to terminate this license at any time if the terms of this Agreement are breached. In the case that the terms are breached, you will be required to immediately destroy any content, information or material printed, downloaded or otherwise copied from the Site.
10. Intellectual Property Rights and Indemnification.
Each Member agrees that they have the full right, power and authority to (A) use any and all materials/information provided to the Company for the Site and that (B) Company’s posting said materials/information on Member’s behalf under this Agreement will not infringe upon, violate or interfere with the rights, whether statutory or otherwise, of any third party. Member either wholly owns such materials/information or hereby represents and warrants that they have licensed such materials without any violation of any intellectual property rights of any third party whatsoever.
Each Member shall at all times defend, indemnify and hold harmless Company and Company’s affiliates, wholly or partially owned companies, their patent companies or wholly or partially owned subsidiaries, joint venture partners and all of these entities officers directors, agents, affiliates, licensees and distributors (collectively, the “Other Indemnities”) from and against any and all demands, claims damages, reasonable counsel fees, arising out of any alleged breach or breach by Member of any warranty, representation or agreement made by Member herein, or pertaining to any other act, error or omission allegedly committed or omitted by Member or any persons or entity allegedly acting on Member’s behalf or under Member’s direction or control. This indemnification clause shall be also apply specifically to this Paragraph 10 and the representations as to the materials/information the Member has made.

11. Supplementary Terms and Conditions.
The Site may have additional Terms and Conditions that are an integral part of this Agreement, and are in addition to these Terms and Conditions. Such Terms and Conditions as listed at the Site will in no way invalidate any of the Terms and Conditions listed here. All Terms listed apply to the Site, and the Member/Subscriber.

12. Severability.
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
13. Notice.
Notices by the Site to Members/Subscribers may be given by means of electronic messages through the Site, or by conventional mail.
Notices by Members/Subscribers may be given by mail, postage prepaid, certified mail, return receipt requested. All questions, complaints, or notices regarding the www.WorldBoxingNetwork.com Membership must be directed here. All cancellations of service to the Site must be directed to www.WorldBoxingNetwork.com.
14. Electronic Newsletter Communication.
The Company and/or www.WorldBoxingNetwork.com may utilize electronic newsletters to reach all or a subset of all registered Members – using the email addresses collected from registration. Users may remove themselves from such mailing at any time by following the instructions that shall be sent as part of any such mailing.
15. Disclaimers/Release.
The Site can not be held liable if, for any reason whatsoever, Members/Subscribers can not access the Membership areas of www.WorldBoxingNetwork.com due to computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or other causes beyond the control of the Site. If Membership is interrupted due to technical difficulties please contact www.WorldBoxingNetwork.com within twenty-four (24) hours of the problem and let us know of your problem or complaint. Please email all questions or complaints to support@worldboxingnertwork.com. If complaints are legitimate, the Company, through www.WorldBoxingNetwork.com will provide credit in the amount of the Membership time lost on a pro rated basis.
By becoming a Member of www.WorldBoxingNetwork.com you hereby forever and irrevocably release and agree to hold harmless the Company, www.WorldBoxingNetwork.com, its sponsors, subsidiaries, affiliates, directors, officers, employees independent contractors and agencies from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection to the Membership.
